What we do

Board advisory

We give your Board independent, expert advice on strategies that can help you achieve your goals, whether that involves growth, the execution of a transaction, or implementing a more effective board structure. We can also help with Board setup and ongoing monthly reporting.

Business improvement

We help identify and implement the actions and strategies needed to improve your business. We can look at things like restructuring, corporate simplification, strategic business development, financial and commercial due diligence, risk identification and mitigation, and entry into new markets or distribution channels.

Business analytics

This includes things like business benchmarking, financial modelling, customer analytics, business health checks, efficiency reviews, systems implementation, and supply chain optimisation.

Transactions

Every transaction, no matter its size, is key to business growth or succession. A successful transaction is one where all the relevant facts have been considered and steps have been taken to minimise the inherent risks.

Succession planning

We can help with identifying an ideal successor, and setting a timeline and key milestones. This process may also include management buy-outs and buy-ins

Mergers

We offer operational deal services; search and strategy; deal development, structure, tax planning, and execution; and post-deal integration.

Acquisitions

You can be confident that we will identify the right acquisition target, acquire the target at the right price (taking into account value, market dynamics, funding and potential synergies), and consider all the financial and commercial risks through a detailed due diligence process. We will also support you with tax structuring strategies, contract and finance negotiations, and reporting.

Valuations

In determining the value of a transaction (whether acquiring, divesting, raising funds, or restructuring), decision makers rely on information that is independent, well-researched, and justifiable. With our level of experience, you can expect unrivalled valuation data and other evidence that is based on our significant research capability, transaction knowledge, insights into capital markets, industry experience, and general business acumen.

Capital structuring

Ensuring an efficient capital structure is critical to maximising shareholder returns. We can help develop a path to an optimal debt/equity position. We can also ensure loan covenants are achievable, and that the cost of debt is minimised. In addition, we can introduce clients to private equity funds, venture capital funds, and other investors who may be able to provide equity funding to help take your business to the next level.

Business sale

We can help with:

    • Assessing your business’s value and how it can be improved
    • Ensuring key customer and supplier contracts are in place; systems and processes are in order, Intellectual Property is protected, etc.
    • Checking that financial information is reliable and accurate
    • Taking steps to identify and mitigate risks
    • Formulating a sale structure that maximises shareholder returns
    • Conducting an extensive, yet discreet, search for potential buyers, including tapping into our deep commercial relationships
    • Preparing a detailed business pitch deck and Information Memorandum that presents your business in the best possible light
    • Vetting potential buyers, including their ability to complete a deal
    • Negotiating the best possible outcome on your behalf in terms of both price and terms
    • Managing the sale itself, including navigating the various personal, business, financial, legal, and taxation aspects

Outcomes you can expect

Each client is unique, but the most common outcomes include:

  • Faster growth
  • Higher profitability
  • Improved market share
  • A stronger competitive edge
  • Better management structures
  • Reduced risk
  • A stronger position for any future sale
